1. Acceptance of Terms

By accessing or using Kelly Cloud Services Pte Ltd ("we," "our," or "us") services at https://c.kelly.cloud/login (the "Service"), you agree to comply with these Terms. If you represent an organization, you warrant authority to bind said entity.

2. Service Description

We provide a multi-cloud reseller platform enabling:

  • • Unified access to third-party cloud providers (e.g.,Alibaba Cloud Intl, Tencent Cloud Intl, Amazon Web Services, Google Cloud).
  • • Cost optimization, security management, and multi-cloud automation tools.
  • • Integration via APIs or federated login (OAuth/SAML).

Note: We are an intermediary and do not own underlying cloud infrastructure.

3. User Obligations

A. Account Registration

  • • Provide accurate information and update promptly.
  • • Maintain confidentiality of login credentials.
  • • Notify us immediately of unauthorized access.

B. Prohibited Activities

You may not:

  • • Violate cloud providers' terms (e.g., abusive resource usage).
  • • Mine cryptocurrencies without explicit consent.
  • • Bypass security controls or reverse-engineer our Service.

4. Financial Terms

A. Fees

  • • Postpaid services fees are billed monthly/annually.
  • • Prepaid services fees follow cloud providers' pricing.

B. Refunds & Cancellation

  • • No refunds for partial months unless required by law (e.g., Singapore's Consumer Protection Act).
  • • Terminate anytime via dashboard; data export available for 30 days post-termination.

5. Third-Party Cloud Providers

  • • Your use of linked cloud platforms is governed by their respective terms.
  • • We are not liable for provider-side outages or policy changes.

6. Data & Privacy

  • • Our Privacy Policy governs data handling. By using the Service, you consent to cross-border data transfers.
  • • You retain ownership of all data processed through linked cloud accounts.

7. Intellectual Property

  • • We retain all rights to the Service's software, trademarks, and content.
  • • You grant us limited rights to use your logo for case studies (opt-out available).

8. Limitation of Liability

  • No indirect damages: We are not liable for lost profits or data breaches caused by third-party clouds.
  • Total liability cap: The lesser of fees paid in the past 12 months or SGD 10,000.

9. Termination

We may suspend or terminate accounts for:

  • • Material breaches (e.g., fraud).
  • • Inactivity exceeding 12 months.

10. Dispute Resolution (Singapore)

  • Governing Law: These Terms are governed by Singapore law.
  • Mediation: Parties agree to mediate disputes via the Singapore Mediation Centre before litigation.
  • Jurisdiction: Exclusive venue for lawsuits is the Singapore courts.

11. Amendments

We will notify users of material changes via email or dashboard alerts. Continued use constitutes acceptance.
